How to cancel an SRN No. Approved by ROC?

An approved SRN can be cancelled and the entire process is offline and consists of following steps and documentation: –

> Visit the respective ROC of the States, where the registered office of the Company is situated.
> Submit few documents such as an

  • application,
  • Affidavit,
  • Undertakings
  • Declaration duly signed by any of the director of the company along with the challan which needs to be cancelled.

> After submitting the aforesaid documents, the ROC will scrutinise the form in respect of which the application for cancellation has been received and it usually take 15-25 days to process the application.
> If ROC finds the grounds of defectiveness, then the application for cancellation of SRN will be approved and the same will be communicated by the registrar via email registered on MCA master data.

Post cancellation of SRN, we will be able to file the form again on the MCA portal.

Whether AOC-4/MGT-7/ any other form filed by Company can be revising?

This is very common question which leads in the mind of almost all the professionals that whether a form e.g. AOC-4 filed with ROC having any clerical mistake in form can be cancel and revised or not.

Once the form AOC-4 filed on MCA Portal, the portal does not allow us to file revised Form. If we try to upload the form, it shows an error that “from has already been filed

Therefore, the only way to revise the form is to cancel the paid SRN by following the below steps:

Step 1: –
Visit the respective ROC of the States, where the registered office of the Company is situated.

Step 2: –
Submit few documents such as an application, Affidavit, Undertakings /Declaration duly signed by any of the director of the company along with the challan which needs to be cancelled.

Step 3: –
After submitting the aforesaid documents, the ROC will scrutinise the form in respect of which the application for cancellation has been received.

Step 4: –
If ROC finds the grounds of defectiveness, then the application for cancellation of SRN will be approved and the same will be communicated by the registrar via email registered on MCA master data

Step 5:
Afterwards company shall be able to file the revised form with additional fees.

In short, an approved SRN can be cancelled after giving an application to the ROC along with the supporting documents and ROC has a discretionary power to approve or cancel the said SRN.
